By accessing or using Salami ("the Service"), developed and operated by Shrimp Products Ltd ("we", "our", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including businesses, employees, and any other individuals who access or use the Service.
2. Description of Service
Salami is a hospitality stock management software platform that provides:
- Stock control and inventory management for hospitality venues
- Waste management and tracking
- Order tracking and management
- Menu pricing and cost analysis
- Business analytics and reporting
- Integration with POS systems (e.g., EposNow)
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you.
3. User Accounts and Registration
To use Salami, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
- Ensuring that all users associated with your business account comply with these Terms
You must be at least 18 years old or have the legal authority to enter into these Terms on behalf of a business entity. You may not share your account credentials with others or allow others to access your account except as authorized by your business account settings.
4. Subscription and Payment Terms
Salami operates on a subscription basis. By subscribing, you agree to:
- Pay all fees associated with your subscription plan as displayed at the time of purchase
- Pay fees in advance on a recurring basis (monthly or annually, as selected)
- Authorize automatic billing through our payment processor (Stripe)
- Provide accurate payment information and keep it updated
Billing and Renewal: Subscriptions automatically renew unless cancelled before the renewal date. You will be charged at the then-current subscription rate. We reserve the right to change subscription fees with 30 days' notice.
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods, except as required by law.
Refunds: Refund requests are handled on a case-by-case basis. If you believe you are entitled to a refund, please contact us.
5. User Conduct and Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Use automated systems (bots, scrapers, etc.) to access the Service without our written permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Upload or transmit viruses, malware, or any other harmful code
- Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
- Use the Service to store or transmit any content that is defamatory, harassing, or violates the rights of others
We reserve the right to suspend or terminate your account immediately if you violate these Terms or engage in any conduct we deem harmful to the Service or other users.
6. Intellectual Property Rights
The Service, including its original content, features, functionality, design, and software, is owned by Shrimp Products Ltd and is protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes in accordance with these Terms. This license does not include the right to:
- Resell or sublicense the Service
- Use the Service to build a competing product
- Copy, modify, or create derivative works of the Service
- Remove any proprietary notices or labels
7. Your Data and Content
You retain all ownership rights to the data and content you upload or create within the Service ("Your Data"). By using the Service, you grant us a limited license to:
- Store, process, and display Your Data to provide the Service
- Create backups and maintain system integrity
- Generate aggregated, anonymized analytics (which do not identify you or your business)
You are solely responsible for Your Data and warrant that you have all necessary rights to upload and use it within the Service. We are not responsible for any loss or corruption of Your Data, though we maintain reasonable backup and security measures.
Upon account termination, you may request a copy of Your Data. We will provide this in a reasonable format within 30 days of your request, subject to applicable fees.
8. Third-Party Services and Integrations
Salami may integrate with third-party services (such as EposNow, Stripe, and other POS systems). Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or reliability of third-party services or any data loss that may occur through their use.
We may use third-party service providers (including Vercel, MongoDB, Stripe, and Resend) to operate the Service. These providers are bound by confidentiality and security obligations, but we are not liable for their actions or failures.
9. Service Availability and Modifications
We strive to provide reliable service but do not guarantee that the Service will be available uninterrupted, error-free, or secure. The Service may be unavailable due to:
- Scheduled maintenance or updates
- Technical failures or system errors
- Force majeure events (natural disasters, cyberattacks, etc.)
- Third-party service outages
We reserve the right to modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that may affect your use of the Service.
10. Termination
You may terminate your account at any time by cancelling your subscription and requesting account deletion through your account settings or by contacting us.
We may suspend or terminate your account immediately if:
- You breach these Terms
- You fail to pay subscription fees
- Your use of the Service poses a security risk or violates applicable laws
- We discontinue the Service (with reasonable notice)
Upon termination, your right to use the Service ceases immediately. We may delete Your Data after a reasonable retention period, unless you request earlier deletion or export.
11. Disclaimers and Limitations of Liability
DISCLAIMER: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that defects will be corrected. You use the Service at your own risk.
LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, Shrimp Products LtdSHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Shrimp Products Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service, (b) Your Data, (c) your violation of these Terms, or (d) your violation of any rights of another party.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you may also have rights under the laws of your country of residence.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be notified to you via email or through the Service at least 30 days before they take effect. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
15. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Shrimp Products Ltd regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
